Terms of Business for Compliance Compass

Effective Date: 22 April 2025

These Terms of Business (“Terms”) set out the agreement between you (“Member”, “you”, “your”) and UK Compliance Consultant Limited (“we”, “us”, “our”), trading as Compliance Compass, regarding your use of and membership to our regulatory compliance resource site. UK Compliance Consultant Limited is registered in England and Wales, with ICO Data Protection Registration Number ZB536520.

1. Definitions

• Member: An individual or organisation who has registered and paid for access to Compliance Compass.
• Membership: The subscription-based access to resources, tools, and content provided by Compliance Compass.
• Site: The Compliance Compass website and all associated content and services.

2. Membership and Access

• Membership is available to individuals and organisations who complete the registration process and pay the applicable membership fee.
• Membership is personal to you and non-transferable.
• Access to the site and its materials is granted for the duration of your active membership period.
• We reserve the right to refuse or terminate membership at our discretion if you breach these Terms or act in a manner detrimental to the site or other members.

3. Membership Fees and Renewal

• Membership fees are payable in advance and are non-refundable except as required by law.
• The membership period is twelve (12) months from the date of registration unless otherwise agreed.
• Membership will not automatically renew. We will notify you prior to expiry, and you may renew by paying the applicable fee.
• Failure to pay renewal fees will result in suspension or termination of access.

4. Member Obligations

• You must ensure that all registration information is accurate and kept up to date.
• You agree to use the site lawfully and in accordance with these Terms.
• You must not share your login details or allow others to access the site using your credentials.
• You must not upload, share, or transmit any material that is unlawful, defamatory, infringing, or otherwise objectionable.
• You agree to comply with all applicable laws and regulations, including data protection and intellectual property laws.

5. Download Restrictions

• Each membership level has a set number of permitted downloads per membership period (twelve months):
  • Compliance Explorer: Up to 3 downloads
  • Risk Navigator: Up to 5 downloads
  • Compliance Champion: Up to 10 downloads
  • Boardroom Titan: Up to 20 downloads
• Download limits apply to all downloadable resources, templates, guides, and documents available on the site.
• Unused downloads do not roll over to the next membership period.
• Attempting to circumvent download restrictions by creating multiple accounts or sharing credentials is strictly prohibited and may result in immediate termination of membership.

6. Intellectual Property and Licence

• All content, resources, and materials on Compliance Compass are owned by or licensed to UK Compliance Consultant Limited.
• Membership grants you a non-exclusive, non-transferable licence to use the site’s materials for your personal or internal business use only.
• You may not copy, distribute, modify, or create derivative works from our content without our express written permission.

7. Data Protection and Privacy

• We process your personal data in accordance with our Privacy Policy and applicable UK data protection laws, including the UK GDPR.
• Our ICO registration number is ZB536520.
• By using the site, you consent to our collection and use of your data as described in our Privacy Policy.

8. Limitation of Liability

• The site and its content are provided for general information and resource purposes only and do not constitute legal or professional advice.
• We make no warranties as to the accuracy or completeness of the content.
• To the fullest extent permitted by law, we exclude liability for any loss or damage arising from your use of the site or reliance on its content.

9. Variation and Termination

• We may amend these Terms to comply with legal or regulatory requirements or to reflect changes to our services. We will notify you of any material changes.
• We may terminate your membership and access to the site if you breach these Terms or misuse the site.

10. Governing Law and Jurisdiction

• These Terms are governed by the laws of England and Wales.
• Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
